These Terms of Use ("Terms") govern your access to and use of the website and authenticated portals operated by Laurel Lodging LLC ("Laurel Lodging," "we," "us," or "our") (collectively, the "Services"). By using the Services, you agree to these Terms. If you do not agree, do not use the Services. Marketing materials may reference CTR Hotels joint-venture branding.

Eligibility

You must be able to form a binding contract under applicable law to use the Services. Authenticated portals are limited to authorized staff, approved partners, and other users we expressly permit.

No offer of securities

Content on the Services is for general information about Laurel Lodging's hotel investment and management business. Nothing on the Services constitutes an offer to sell, or a solicitation of an offer to buy, any security or investment interest. Any capital partnership discussions occur privately with qualified parties under separate documentation (for example, a private placement memorandum and subscription documents). Informational and demonstration content

Portfolio figures, performance metrics, maps, case studies, and similar materials may be illustrative, simulated, anonymized, or labeled as demonstration content. They are not official statements of account and should not be relied on as the sole basis for any investment, lending, or business decision.

Portal access and confidentiality

If you receive portal credentials or access codes, you must keep them confidential, use them only as authorized, and notify us promptly of any suspected compromise. You may access only data and features your role permits. You agree not to scrape, reverse engineer, or interfere with the Services.

Prohibited use

You agree not to:

• Use the Services for unlawful, fraudulent, or harmful purposes
• Attempt unauthorized access to systems, accounts, or data
• Upload malware or disrupt the Services
• Misrepresent your identity, accreditation, or authority
• Copy or redistribute non-public portal materials without permission

Intellectual property

The Services, including text, design, logos, graphics, and software, are owned by Laurel Lodging or its licensors and are protected by intellectual property laws. You receive a limited, revocable, non-exclusive license to access the public site for lawful personal or internal business evaluation. No other rights are granted.

Third-party links

The Services may link to third-party sites or tools. We are not responsible for their content, policies, or practices. Your use of third-party services is at your own risk and subject to their terms.

Disclaimer of warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, LAUREL LODGING DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Services will be uninterrupted, error-free, or free of harmful components, or that content is complete or current.

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, LAUREL LODGING AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES. OUR AGGREGATE LIABILITY FOR CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100), EXCEPT WHERE LIABILITY CANNOT BE LIMITED BY LAW.

Indemnity

You agree to indemnify and hold harmless Laurel Lodging and its officers, directors, employees, and agents from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your misuse of the Services, your violation of these Terms, or your infringement of any right of another party.

Governing law

These Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-law principles. Exclusive venue for disputes arising from these Terms or the Services lies in the state or federal courts located in New Jersey, except where applicable law requires otherwise.

Changes

We may update these Terms from time to time. The "Last updated" date reflects the latest revision. Continued use of the Services after changes constitutes acceptance of the revised Terms.
